Declaration on the German Corporate Governance Code

The Management and Supervisory Boards of Didier-Werke AG declare, in accordance with § 161 Sentence 1 of the Stock Corporation Act (AktG), that the recommendations of the “Government Commission Corporate Governance Code” as amended as published by the Federal Ministry of Justice in the official section of the Electronic Federal Law Gazette have not been complied with since the latest submission of the declaration of conformity and will not be complied with.

Didier-Werke AG is a subsidiary of the RHI Group and integrated into this group through a control agreement. RHI AG, based in Vienna, is as the parent company itself listed on the stock exchange and thus subject to the Austrian Code of Corporate Governance applicable to corporations listed in Austria. At the level of Didier-Werke AG as a group company, the rules and recommendations arising from its listing on the stock exchange are thus not complied with unless they are legally mandatory.
